1. Introduction and Acceptance
Welcome to SAMM for Work, a time tracking and workforce management platform designed for small businesses. These Terms and Conditions ("Terms") constitute a legally binding agreement between you and SAMM Tech LLC, a company registered in Georgia, United States ("we," "us," "our"), governing your access to and use of the SAMM for Work mobile applications (Android and iOS) and web platform (collectively, the "Service").
By accessing or using SAMM for Work, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use the Service.
If you are using SAMM for Work on behalf of an organization or business entity, you represent and warrant that you have the legal authority to bind that organization to these Terms, and "you" refers to both you individually and the organization you represent.
2. Description of Service
SAMM for Work is a cloud-based workforce management platform that provides the following features:
2.1 Time Tracking
- Manual and automatic clock-in/clock-out functionality
- GPS-based location verification during clock-in
- Real-time work hours tracking and attendance records
- Automated timesheet generation for payroll purposes
- Kiosk mode with photo verification for shared device environments
2.2 Location-Based Features
- Geofencing: Automatic clock-in/clock-out when employees enter/exit designated work locations
- Background Location Tracking: Location data collection ONLY while employees are clocked in
- GPS Verification: Location validation to prevent time theft and buddy punching
Important: Location tracking is ONLY active during clocked-in work hours and ONLY for hourly location-based employees. No tracking occurs after clock-out or for salaried employees, administrators, or accountants.
2.3 Team Communication
- Built-in messaging and chat functionality
- One-on-one and group conversations
- Message attachments (photos, documents, files)
- Push notifications for new messages
- Real-time message delivery and read receipts
2.4 Task Management
- Task creation, assignment, and tracking
- Task status management (Open, In Progress, Completed, Cancelled)
- Due dates and priority settings
- Photo attachments for task documentation
- Task completion notifications
2.5 Scheduling and Time Off
- Employee shift scheduling and calendar management
- Schedule viewing and notifications
- Leave/time-off requests
- Availability management
- Schedule conflict detection
2.6 Administrative Features
- Real-time dashboard for workforce monitoring
- Employee management and user administration
- Location and organization management
- Payroll-ready reports and timesheet exports
- Data backup and recovery
- Analytics and reporting tools
2.7 Offline Support
- Offline time tracking functionality
- Automatic data synchronization when connection is restored
- Local data caching for uninterrupted service
3. Access Levels, Job Titles, and Eligibility
3.1 Account access levels
SAMM for Work uses four account access levels. These control what a user can see and do in the app (permissions and administration). They are separate from an employee’s job title (for example, Manager or Server), which your organization may define for scheduling and reporting.
- Super Administrator: Full system access across all organizations, can manage all users and system settings
- Administrator: Full access within their organization, can manage employees and settings
- Accountant: Read-only access to reports, timesheets, and employee data within their organization
- Employee: Limited access to their own data, assigned tasks, schedules, and time tracking features
3.2 Job titles
Your organization may create job titles and assign them to people for staffing, coverage rules, and schedules. A job title describes a workplace role (for example, Bartender, Shift Lead). It does not replace or change account access level: a user with an Employee account may still be assigned a job title such as “Key holder,” and an Administrator account is about administration of the organization, not a job title.
3.3 Eligibility Requirements
- SAMM for Work is intended for use by employees, managers, and staff of subscribing organizations
- There is no specific age restriction, but users must be authorized employees or administrators of an organization that subscribes to SAMM for Work
- Only authorized users with valid credentials provided by their organization may access the Service
- Users must maintain the confidentiality of their login credentials
3.4 Employment Types
- Hourly Location-Based Employees: Subject to geofence-based clock-in verification and location tracking while clocked in
- Hourly Geofence Not Required Employees: Subject to location tracking while clocked in, without geofence-based clock-in restrictions
- Salaried Employees: Not subject to location tracking requirements
- Administrative Users: Not subject to location tracking requirements
4. Account Registration and Security
4.1 Account Creation
- Organizations must create an organizational account to use SAMM for Work
- Individual employee accounts are created by organization administrators
- All account information must be accurate, complete, and current
- Organizations are responsible for managing employee access, permissions, and account lifecycle
4.2 Account Security
- Users must maintain the confidentiality of their login credentials
- Users must notify their administrator immediately if they suspect unauthorized access
- Organizations are responsible for all activities that occur under their account and employee accounts
- Users must use secure authentication methods as provided by the system
4.3 Account Termination
- Organizations may terminate employee accounts at any time
- We reserve the right to suspend or terminate accounts that violate these Terms
- Upon organization- or SAMM for Work-initiated termination or suspension, access to the Service will be immediately revoked
- Data retention after termination follows our Privacy Policy guidelines
4.4 Voluntary Account Deletion
- You may request deletion of your personal account through Settings > Privacy & Data (employees) or Settings > Data & Privacy > Request Account Deletion (administrators)
- A 6-digit email verification code must be entered in the app before the deletion request is submitted; access remains until deletion is completed
- Requests may require organization review and are completed according to the timelines and procedures in our Privacy Policy
- Verification, review, and data handling details are set out in our Privacy Policy
5. Location Tracking and Consent
5.1 Location Tracking Scope
By using SAMM for Work as an hourly location-based employee, you acknowledge and consent to:
- GPS location tracking ONLY while you are clocked in
- Collection of location coordinates during work hours
- Automatic geofencing-based clock-in/clock-out functionality (if enabled)
5.2 When Location Tracking Occurs
- ✅ ONLY during clocked-in work hours
- ✅ ONLY for hourly location-based employees
- ❌ NEVER after clock-out
- ❌ NEVER for salaried employees, administrators, or accountants
- ❌ NEVER when the app is not running (unless explicitly enabled by user for automatic tracking)
5.3 Location Permissions
- Location tracking requires explicit permission through your mobile device settings
- You may revoke location permissions at any time through device settings
- Disabling location permissions may limit certain features like automatic time tracking
- You may request your administrator to change your employee type to disable location tracking
5.4 Purpose of Location Tracking
Location data is collected for the following business purposes:
- Verify employees are at designated work locations during clock-in
- Enable automatic time tracking based on geofence entry/exit
- Prevent time theft and fraudulent clock-ins ("buddy punching")
- Generate accurate timesheets and attendance records
6. Subscription, Payment, and Billing
6.1 Subscription Model
- SAMM for Work operates on a subscription basis for organizations
- Subscription fees are billed to the organization, not individual employees
- Pricing is set per organization (flat fee and/or per billable user rates) as configured for your organization
- Billing cycles may be monthly or yearly, based on your organization's billing anchor date
- Fees may vary based on the number of billable users in your organization
- There are no in-app purchases or advertisements
6.2 Automatic Billing and Authorization
- By subscribing and providing a payment method, your organization authorizes SAMM for Work to charge subscription fees automatically on each billing anchor date
- Charges are processed automatically using the payment method on file; you do not need to approve each individual charge
- Subscription fees are billed in advance for each billing period
- Your organization's designated founding administrator (or other authorized billing contact) is responsible for maintaining valid payment information
- If billing is required for your organization, access to the Service may be blocked until a valid payment method is on file
6.3 Payment Methods and Fees
- Payment may be made by credit or debit card or U.S. bank account (ACH), as supported through our payment processor
- Card payments may include a processing fee (currently 2.9% + $0.30 of the invoice subtotal, subject to change with notice); ACH payments do not include this SAMM for Work processing fee
- Applicable sales or use taxes may be calculated and added to invoices where required by law
- SAMM for Work does not add hidden platform fees beyond those disclosed at payment setup or on your invoice
6.4 Payment Processing (Stripe)
- Payment processing is provided by Stripe, Inc. ("Stripe"), a third-party payment processor
- When you add or update a payment method, you may be redirected to Stripe's secure checkout or customer portal
- Stripe's terms of service and privacy policy apply: stripe.com/legal and stripe.com/privacy
- SAMM for Work does not store full credit card or bank account numbers; Stripe handles payment method storage and security
6.5 Failed Payments and Service Access
- If an automatic charge fails, we may retry according to our billing policies
- We will notify your organization's billing contact of payment failures
- Persistent non-payment may result in suspension or termination of Service access for your organization
- U.S. bank account (ACH) payments may require verification; Service access may remain limited until verification completes
6.6 Refund Policy
- Subscription fees are non-refundable
- No partial refunds are provided for unused subscription periods, unused seats, or mid-cycle cancellations
- Adjustments for billing errors are handled at SAMM for Work's discretion; contact support@sammforwork.com
6.7 Cancellation
- Organizations may cancel their subscription by contacting SAMM for Work support at support@sammforwork.com
- To avoid charges for the next billing period, cancellation must be confirmed before your next billing anchor date
- Cancellation does not entitle you to a refund for the current or prior billing period
- Upon cancellation, data will be retained according to our Privacy Policy
6.8 Price Changes
- We reserve the right to modify subscription pricing at any time
- Existing subscribers will receive 30 days' advance notice of material price changes before they apply to the next billing period
- Continued use of the Service after a price change takes effect constitutes acceptance of the new pricing
7. Data Accuracy and User Responsibility
7.1 Data Accuracy
- We do not guarantee the accuracy, completeness, or reliability of any data submitted through the Service
- GPS location data may be affected by device hardware, signal quality, weather, and environmental factors
- Organizations and employees are responsible for verifying the accuracy of all time entries, locations, and submitted data
7.2 Organization Responsibilities
Organizations using SAMM for Work are solely responsible for:
- Ensuring all time entries and attendance records are accurate
- Verifying employee work hours before processing payroll
- Complying with all applicable labor laws and employment regulations
- Properly managing employee permissions and access levels
- Maintaining accurate organizational and employee data
- Using the Service in accordance with all applicable laws
7.3 Employee Responsibilities
Employees using SAMM for Work are responsible for:
- Accurately reporting work hours and clock-in/clock-out times
- Reporting any discrepancies or errors in time tracking immediately
- Using the Service only for legitimate work-related purposes
- Not sharing login credentials or allowing others to use their account
- Maintaining their device's GPS functionality for location-based features
7.4 Organization's Duty to Verify
Organizations using SAMM for Work acknowledge and agree that:
- SAMM for Work is a software tool that assists with time tracking
- Organizations remain solely responsible for:
- Verifying accuracy of all time entries before processing payroll
- Ensuring compliance with all applicable labor laws
- Paying employees correctly and on time
- Maintaining backup records of work hours
- Resolving any discrepancies in time tracking data
- Organizations must not rely exclusively on SAMM for Work for:
- Legal compliance
- Payroll calculations
- Employment decisions
- Wage determinations
- Organizations should implement additional safeguards such as:
- Manager approval of timesheets
- Regular audits of time entries
- Backup time tracking methods
- Employee verification of hours
8. No Employment Relationship
SAMM for Work is a software tool only. By using SAMM for Work, you acknowledge and agree that:
8.1 We Are Not Your Employer
- SAMM for Work does not employ any users of the Service
- We have no employment relationship with organizations or their employees
- We do not control, direct, or supervise employee work activities
- We are not responsible for any employer-employee disputes or issues
8.2 No Payroll or Wage Responsibility
- SAMM for Work does not pay wages or salaries to any users
- We do not calculate or process payroll
- We do not enforce or guarantee payment of wages
- We do not determine or calculate overtime, benefits, or compensation
- Organizations are solely responsible for employee compensation and payroll processing
8.3 No Determination of Employment Status
- SAMM for Work does not determine whether users are employees, contractors, or any other classification
- Organizations are solely responsible for properly classifying workers
- We provide tools only and do not make employment-related decisions
9. No Legal or Compliance Advice
9.1 No Legal Advice
- SAMM for Work does not provide legal advice or counsel regarding employment law, labor regulations, or compliance matters
- The Service should not be construed as legal guidance or compliance assurance
- Organizations should consult qualified legal counsel for employment law matters
9.2 No Compliance Guarantee
SAMM for Work does not ensure or guarantee compliance with any local, state, federal, or international labor laws. Organizations are solely responsible for ensuring compliance with:
- Fair Labor Standards Act (FLSA) and wage-hour laws
- Occupational Safety and Health Act (OSHA) requirements
- State and local labor regulations
- Employee privacy laws and regulations
- Data protection and privacy regulations (GDPR, CCPA, etc.)
- Any other applicable employment or labor laws
9.3 Use at Your Discretion
- Use of SAMM for Work is entirely at your own discretion and risk
- Organizations must independently verify that their use of the Service complies with applicable laws
- We are not liable for any legal violations or non-compliance arising from use of the Service
10. Acceptable Use Policy
10.1 Prohibited Uses
You agree NOT to use SAMM for Work for any of the following purposes:
- Violating any applicable laws or regulations
- Infringing on intellectual property rights of others
- Transmitting harmful, offensive, or inappropriate content
- Attempting to gain unauthorized access to the Service or other users' accounts
- Interfering with or disrupting the Service's functionality
- Using the Service to harass, abuse, or harm others
- Impersonating another person or entity
- Transmitting viruses, malware, or other malicious code
- Scraping, data mining, or automated data collection without authorization
- Reverse engineering or attempting to extract source code
- Using the Service for any fraudulent or deceptive purposes
10.2 Content Standards
When using messaging and communication features, you agree to:
- Not share confidential, proprietary, or sensitive information inappropriately
- Respect workplace communication standards and professionalism
- Not transmit discriminatory, harassing, or offensive messages
- Comply with your organization's communication policies
10.3 Enforcement
- Violations of this Acceptable Use Policy may result in immediate account suspension or termination
- We reserve the right to investigate suspected violations
- We may cooperate with law enforcement regarding illegal activities
11. Intellectual Property Rights
11.1 Our Intellectual Property
- SAMM for Work and all associated content, features, and functionality are owned by us and protected by copyright, trademark, and other intellectual property laws
- The SAMM for Work name, logo, and branding are our trademarks and may not be used without permission
- You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose
- This license does not grant you any ownership rights in the Service
11.2 Your Data
- You retain all ownership rights to data you submit through the Service (time entries, messages, tasks, etc.)
- By using the Service, you grant us a license to process, store, and transmit your data as necessary to provide the Service
- This license terminates when you delete your data or account, subject to our data retention policies
11.3 Feedback
- Any feedback, suggestions, ideas, or improvements you provide to us may be used by us without restriction or obligation
- You waive any rights to compensation for feedback provided to us
12. Disclaimer of Warranties
CRITICAL: SAMM for Work IS PROVIDED "AS IS" WITHOUT ANY WARRANTIES. PLEASE READ THIS SECTION CAREFULLY.
12.1 No Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SAMM for Work IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO:
- Warranties of merchantability or fitness for a particular purpose
- Warranties of accuracy, reliability, or completeness of any data, information, or content
- Warranties of uninterrupted or error-free operation of the Service
- Warranties that the Service will meet your requirements or expectations
- Warranties of non-infringement of third-party rights
- Warranties of security or freedom from viruses, malware, or other harmful components
- Warranties of availability or uptime of the Service
- Warranties of data integrity or freedom from data loss
12.2 Small Business Reality
SAMM for Work is operated as a small business with limited resources. You acknowledge and agree that:
- We do not have the resources, infrastructure, or capabilities of large enterprise software companies
- Our Service is provided at subscription rates that reflect our limited resources, specifically because we cannot provide enterprise-level guarantees
- We cannot guarantee 100% uptime, data accuracy, or error-free operation
- Technical issues, bugs, and service interruptions may occur
- Third-party services (Google Cloud Platform, Firebase, GPS satellites) may fail or be unavailable
- Device hardware, software, and connectivity issues may affect Service functionality
12.3 No Guarantees
We make NO guarantees regarding:
- Service availability - The Service may be unavailable due to maintenance, technical issues, or third-party failures
- Data accuracy - GPS location data, time tracking data, or other information may be inaccurate
- Data preservation - Data may be lost due to technical failures, user error, or other causes
- Security - The Service may be subject to security breaches or unauthorized access
- Performance - The Service may be slow, unresponsive, or experience technical issues
- Compatibility - The Service may not work with all devices, operating systems, or browsers
- Functionality - Features may not work as expected or may be unavailable
12.4 Use at Your Own Risk
You acknowledge and agree that:
- You use the Service entirely at your own risk
- You are solely responsible for verifying all time tracking data before using it for payroll
- You should maintain backup records outside of SAMM for Work
- You are solely responsible for compliance with all applicable labor laws
- You should not rely exclusively on SAMM for Work for critical business operations
- You should implement additional safeguards such as manager approval, regular audits, and backup systems
12.5 Acknowledgment
By using SAMM for Work, you acknowledge that:
- You have read and understood these disclaimers
- You accept the Service "as is" without any warranties
- You understand the limitations of a small business service
- You agree to use the Service at your own risk
13. Limitation of Liability
THIS IS A CRITICAL SECTION THAT LIMITS OUR FINANCIAL LIABILITY. PLEASE READ CAREFULLY.
13.1 Small Business Liability Cap
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SAMM for Work's total aggregate liability to you for all claims arising from or related to these Terms or your use of the Service shall not exceed the total amount of subscription fees actually paid by your organization to SAMM for Work during the six (6) months immediately preceding the claim.
Example: If your organization has paid subscription fees totaling $900 during the six (6) months immediately preceding a claim, the maximum we could be liable for is $900.
13.2 Basis for Limitation
This liability limitation exists because:
- SAMM for Work is a small business without large financial reserves
- Our subscription pricing is affordable specifically because liability is limited
- The Service is provided based on subscription fees actually paid by your organization
- You pay for software tools, not insurance or guarantees
- This limitation is an essential basis of the agreement between us
13.3 Types of Damages Excluded
TO THE MAXIMUM EXTENT PERMITTED BY LAW, we are not liable for:
Indirect or Consequential Damages:
- Lost profits, revenue, or business opportunities
- Business interruption or lost business
- Loss of goodwill or reputation
- Cost of substitute services
- Legal fees or litigation costs (except as required by law)
Employment-Related Damages:
- Employee wage disputes or unpaid wages
- Overtime calculation errors or disputes
- Labor law violations or penalties
- Employment discrimination, harassment, or wrongful termination claims
- Employer-employee disputes of any kind
Data-Related Damages:
- Inaccurate time tracking data
- GPS location errors or inaccuracies
- Data loss, corruption, or unauthorized access
- Missed clock-ins or clock-outs
- GPS signal loss or device failures
Service Issues:
- Service outages, downtime, or interruptions
- Bugs, errors, or technical issues
- Third-party service failures (Google Cloud, Firebase, GPS)
- Device compatibility issues
- Internet connectivity problems
Other Damages:
- Incidental, special, punitive, or exemplary damages
- Emotional distress
- Any other indirect damages of any kind
This exclusion applies regardless of whether we were advised of the possibility of such damages, whether they were foreseeable, and regardless of the legal theory (contract, tort, negligence, strict liability, statutory, or otherwise).
13.4 No Liability for Third Parties
We are not liable for:
- Actions or omissions of your organization or employer
- Actions or omissions of other users
- Failures of third-party services (Google Cloud Platform, Firebase, GPS satellites, internet providers, mobile carriers)
- Device hardware or software failures
13.5 Minimum Liability (If Required by Law)
In jurisdictions where we cannot limit liability to zero for certain claims, and where the 6-month subscription fee would be zero (e.g., for new users or non-paying users), our maximum liability shall not exceed $100 USD for all claims.
13.6 Time Limit for Claims
Any claim against SAMM for Work must be brought within one (1) year of the date the cause of action arose. Claims brought after one year are permanently barred.
13.7 Acknowledgment
By using SAMM for Work, you acknowledge that:
- You have read and understood these liability limitations
- These limitations are reasonable given the low subscription cost
- You accept these limitations as part of using the Service
- SAMM for Work would not offer the Service at this price without these limitations
14. Third-Party Services and Dependencies
14.1 Third-Party Service Providers
SAMM for Work relies on third-party services to operate, including:
- Google Cloud Platform (GCP): Data storage and hosting infrastructure
- Firebase: Push notifications and messaging
- Google Analytics: Usage analytics and performance monitoring
- Stripe, Inc.: Subscription payment processing and payment method storage
- GPS Services: Location tracking functionality provided by your device
- OpenStreetMap: Map display and visualization
14.2 Third-Party Limitations
- We are NOT responsible for outages, errors, data loss, security breaches, or other issues caused by third-party services
- Third-party services have their own terms of service and privacy policies that apply to you
- We do not control third-party services and cannot guarantee their availability or performance
- Third-party service interruptions may affect SAMM for Work's functionality
14.3 Network and Device Requirements
- SAMM for Work requires an internet connection for most features (offline features are limited)
- You are responsible for obtaining and maintaining compatible devices and network connectivity
- Data charges from your mobile carrier may apply
- GPS functionality requires compatible device hardware and sufficient signal strength
15. Data Protection and Privacy
15.1 Privacy Policy
- Our collection, use, and disclosure of personal information is governed by our Privacy Policy
- By using SAMM for Work, you agree to the terms of our Privacy Policy
- The Privacy Policy is incorporated into these Terms by reference
- The Privacy Policy also describes how to request account deletion and data export, and how those requests are handled
15.2 GDPR Compliance (European Users)
If you are located in the European Economic Area (EEA):
- Your organization acts as the data controller for employee data
- SAMM for Work acts as a data processor on behalf of your organization
- You have rights under GDPR including access, rectification, erasure, and data portability
- You may lodge complaints with your local supervisory authority
15.3 CCPA Compliance (California Users)
If you are a California resident:
- You have the right to know what personal information we collect
- You have the right to request deletion of your personal information
- We do NOT sell your personal information to third parties
- You have the right to non-discrimination for exercising your privacy rights
15.4 Data Security
- We implement reasonable security measures to protect your data
- However, no method of transmission or storage is 100% secure
- You acknowledge the inherent security risks of internet-based services
- We are not liable for unauthorized access or security breaches beyond our reasonable control
15.5 Data Retention
- Active data is retained while your account is active
- After account deletion or termination is completed, personal data is handled as described in our Privacy Policy; most identifiable data is removed promptly, with backup copies deleted within 90 days
- Employment-related time tracking and attendance records may be retained for up to 7 years to comply with legal, tax, and payroll record-keeping requirements
16. Changes to Service and Terms
16.1 Changes to Terms
- We reserve the right to modify or update these Terms at any time and for any reason
- We will notify you of material changes by updating the "Last Updated" date, sending notifications, or displaying a notice within the Service
- Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms
- If you do not agree to the updated Terms, you must stop using the Service
16.2 Changes to Service
We reserve the right to:
- Modify, suspend, or discontinue any features or functionality at any time without notice
- Add new features or services that may be subject to additional terms
- Change subscription pricing with 30 days' advance notice to existing subscribers
- Impose usage limits or restrictions on certain features
16.3 Service Availability
- We do not guarantee that the Service will be available at all times
- Service may be interrupted for maintenance, updates, or technical issues
- We will make reasonable efforts to minimize service interruptions
- Scheduled maintenance will be communicated when possible
17. Dispute Resolution and Arbitration
17.1 Informal Resolution
Before initiating arbitration or litigation, you agree to first contact us to attempt to resolve the dispute informally:

- We will attempt to resolve disputes within 30 days of notification
17.2 Mandatory Arbitration
If informal resolution fails, all disputes arising from these Terms or use of the Service shall be resolved through binding arbitration rather than in court. There are NO EXCEPTIONS to this requirement.
17.3 AAA Arbitration Rules
Arbitration will be conducted by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, except as modified by these Terms:
- Arbitration Provider: American Arbitration Association (AAA)
- Rules: AAA Consumer Arbitration Rules
- Location: Marietta, Georgia (or as agreed by both parties)
- Language: English
- Individual Claims Only: No class actions or collective proceedings
17.4 Arbitration Fees and Total Liability Cap
IMPORTANT: All arbitration costs are INCLUDED in the total liability cap stated in Section 13.
SAMM for Work's total financial obligation for all costs and liabilities combined (including arbitration filing fees, arbitrator fees, administrative costs, and any damages awarded) shall not exceed the 6-month subscription fee cap specified in Section 13.
Example: If your organization's 6-month subscription total is $150:
- Arbitration costs (filing fees, arbitrator fees, etc.): May use some or all of the $150
- Any damages awarded to you: The remaining amount, up to $150 total
- TOTAL SAMM for Work PAYS: Never more than $150
Fee Allocation:
- You pay the initial AAA filing fee for your claim (typically $200-$300 for small claims)
- Any additional arbitration costs paid by SAMM for Work are deducted from the total liability cap
- Each party pays their own attorney fees
- If you prevail, your filing fee may be reimbursed from the liability cap (at arbitrator's discretion)
What This Means:
- SAMM for Work's maximum total financial exposure (arbitration costs + damages) = 6 months of your subscription fees
- This ensures predictable, limited liability for SAMM for Work as a small business
- You have the right to pursue arbitration, but the total recovery is capped
17.5 Arbitration Process
- Arbitration will be conducted individually, not as a class action
- The arbitration will be governed by the Federal Arbitration Act
- The arbitrator's decision will be final and binding
- Judgment on the arbitration award may be entered in any court of competent jurisdiction
- Arbitration will be conducted by a single arbitrator
17.6 Class Action Waiver
YOU AGREE THAT:
- Disputes will be resolved individually, not as part of a class action
- You waive the right to participate in class actions or class-wide arbitration
- You waive the right to act as a representative in class action or collective proceedings
- This waiver applies to both organizations and their employees
17.7 No Legal Action Against SAMM for Work
By using SAMM for Work, both organizations and employees agree:
- Not to hold SAMM for Work liable for any employment-related issues, wage disputes, or compensation claims
- That any employment disputes must be handled directly between the employee and the organization
- Not to bring legal claims, lawsuits, or proceedings against SAMM for Work or its owners under any theory of liability related to employment matters
18. Governing Law and Jurisdiction
18.1 Governing Law
These Terms are governed by and construed in accordance with the laws of Georgia, United States, without regard to its conflict of law provisions.
18.2 Jurisdiction
Any disputes not subject to arbitration shall be brought exclusively in the state or federal courts located in Marietta, Georgia, and you consent to the personal jurisdiction of such courts.
18.3 International Users
If you access SAMM for Work from outside the United States:
- You do so at your own risk and are responsible for compliance with local laws
- These Terms remain governed by Georgia law
- You consent to the transfer and processing of your data in the United States
19. Miscellaneous Provisions
19.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and SAMM for Work regarding use of the Service and supersede all prior agreements and understandings.
19.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect, and the invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.
19.3 Waiver
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision. No waiver will be effective unless made in writing.
19.4 Assignment
- You may not assign or transfer these Terms or your account without our written consent
- We may assign these Terms or transfer our rights and obligations without restriction
- These Terms bind and benefit the parties and their permitted successors and assigns
19.5 Force Majeure
We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, government actions, internet failures, or third-party service provider failures.
19.6 Survival
Provisions that by their nature should survive termination will survive, including but not limited to:
- Section 8 (No Employment Relationship)
- Section 9 (No Legal or Compliance Advice)
- Section 12 (Disclaimer of Warranties)
- Section 13 (Limitation of Liability)
- Section 17 (Dispute Resolution)
19.7 Language
These Terms are written in English. Any translations are provided for convenience only, and the English version controls in case of conflicts.
19.8 Electronic Communications
- You consent to receive communications from us electronically
- Electronic communications satisfy any legal requirement that communications be in writing
- You may withdraw consent by discontinuing use of the Service
